1. Scope of application
1.1 These General Terms and Conditions (hereinafter “Terms and Conditions”) of IME GmbH (hereinafter “Seller”) apply to all contracts for the delivery of goods concluded between the Seller and an entrepreneur (hereinafter “Customer”) regarding goods presented on the Seller’s website or offered in writing (e.g., via email). The inclusion of the Customer’s own terms and conditions is objected to unless otherwise agreed.
1.2 An entrepreneur under these Terms and Conditions refers to a natural or legal person or a partnership with legal capacity acting in the course of their commercial or independent professional activity when entering into a legal transaction.
2. Conclusion of contract
2.1 The product descriptions on the Seller’s website do not represent binding offers but serve as an invitation for the Customer to request a binding offer from the Seller.
2.2 The Customer can request a quote via email or the online contact form provided by the Seller.
2.3 Before submitting a binding order via email, the Customer should review the information displayed for errors. Tools like the magnification function of the email program can assist in recognizing errors.
2.4 Contracts can be concluded in German or English.
2.5 Communication and order processing are generally carried out via email. The Customer must ensure the accuracy of their email address and check SPAM filters to allow receipt of emails from the Seller.
3. Prices and terms of payment
3.1 Prices listed by the Seller include statutory sales tax. Additional delivery and shipping costs are indicated separately in the offer.
3.2 For deliveries outside the EU, additional costs such as transfer fees, customs duties, or taxes may apply and are to be borne by the Customer.
3.3 Payment options are communicated to the Customer via email.
3.4 For prepayment via bank transfer, payment is due immediately after contract conclusion unless otherwise agreed.
3.5 When selecting purchase on account, payment is due within 14 days of invoice receipt. The Seller may impose restrictions on this payment option based on the order volume or a credit check.
4. Delivery and shipping conditions
4.1 Goods are delivered to the address specified by the Customer unless otherwise agreed.
4.2 If delivery fails due to reasons attributable to the Customer, the Customer bears the resulting costs.
4.3 For entrepreneurs, the risk of accidental loss or deterioration passes to the Customer upon delivery to the carrier or forwarding agent.
4.4 In cases of incorrect or improper self-delivery, the Seller may withdraw from the contract and refund the Customer.
4.5 In cases of self-collection, the Seller will inform the Customer when goods are ready for pickup. No shipping costs apply for self-collection.
5. Retention of title
5.1 For entrepreneurs, the Seller retains title to the delivered goods until all claims from the business relationship are settled.
5.2 Entrepreneurs may resell reserved goods in the ordinary course of business but must assign claims from such resale to the Seller.
6. Liability
6.1 The Seller is liable without limitation in cases of:
- Intent or gross negligence
- Injury to life, body, or health
- Warranty claims
- Mandatory liability (e.g., under the Product Liability Act).
6.2 For negligent breaches of essential contractual obligations, liability is limited to foreseeable damages typical for the contract.
6.3 Other liability is excluded.
6.4 These provisions also apply to legal representatives and vicarious agents of the Seller.
7. Applicable law
The law of the Federal Republic of Germany applies, excluding international sales law. For consumers, mandatory legal protections in their country of residence remain unaffected.
8. Place of jurisdiction
For entrepreneurs in Germany, the Seller’s registered office is the exclusive place of jurisdiction.
For entrepreneurs outside Germany, the Seller’s registered office is also the place of jurisdiction if the contract relates to the Customer’s professional or commercial activities.

10. Translation
In case of discrepancies or disputes due to translation, the German version of the Terms and Conditions applies.
